Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Ostrich platform operated by Ostrich Intelligence, Inc. (“Ostrich,” “we,” “us,” or “our”) at ostrichintel.com. By accessing or using the platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or otherwise using the Ostrich platform (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding contract. If you are accessing the Service on behalf of a business entity, you further represent and warrant that you have authority to bind that entity to these Terms.
Ostrich reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 14 days before taking effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms.
2. Account Types
Ostrich offers the following account tiers, each providing different levels of access to platform features:
- Free — Limited access to public vendor listings, basic search, and community content. No payment information required.
- PM Intel — Full access to vendor intelligence, scoring, comparison tools, and market data curated for property managers. Available via monthly or annual subscription.
- Vendor Intel — Access to competitive intelligence, category benchmarking, and review analytics for vendors operating in the short-term rental ecosystem.
- Organizer Intel — Access to event intelligence, attendee data, and conference analytics for industry organizers.
Each individual may hold only one (1) account on the Ostrich platform. Creating multiple accounts to circumvent subscription limitations, access restrictions, or suspension actions is strictly prohibited and may result in permanent termination of all associated accounts.
Account credentials are personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You agree to notify Ostrich immediately of any unauthorized use of your account.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are expressly prohibited:
- Scraping or automated access — Using bots, spiders, crawlers, scrapers, or any automated means to access, collect, or extract data from the Service without prior written authorization from Ostrich.
- False or fake reviews — Submitting reviews for vendors with whom you have had no genuine business relationship, or submitting reviews on behalf of others.
- Impersonation — Misrepresenting your identity, affiliation, or credentials, or impersonating any person, business, or Ostrich employee.
- Harassment or harmful content — Uploading, posting, or transmitting content that is harassing, threatening, defamatory, obscene, or otherwise harmful to individuals or businesses.
- Spam or unsolicited communications — Using the Service to send unsolicited commercial communications or to harvest contact information for such purposes.
Vendor Disclosure Requirement. If you are employed by, contracted with, or financially interested in a vendor listed on the platform, you must disclose that relationship in any review, community post, or other user-generated content referencing that vendor. Failure to disclose a material affiliation is a violation of these Terms and may constitute deceptive trade practices under applicable law.
Community Platform Rules. The Ostrich Community is subject to the following additional rules. Posting original threads in the Community requires a Growth-tier or higher paid subscription. Free-tier users may read and react to Community content but may not post or reply. Vendor representatives may only reply in threads where their product is mentioned or in designated “Ask a Vendor” categories, and must display a mandatory “Vendor — [Company]” badge on all Community contributions. Unsolicited promotional posts by vendors are prohibited. Violations are subject to graduated enforcement: first offense results in a warning, second offense results in a thirty (30) day posting suspension, and third offense results in a permanent ban from Community participation. You may appeal any enforcement action within seven (7) days by contacting support@ostrichintel.com.
Platform Communications. Certain subscription tiers permit users to send communications to other users through the Ostrich platform. Event organizers on Association-tier or higher plans may send up to one (1) broadcast announcement per month to property managers who have opted in to event alerts for the organizer’s market area. Broadcasts are limited to event announcements and may not contain vendor promotions. All broadcasts are labeled “Sponsored by [Organizer Name]” and recipients may unsubscribe from any organizer’s broadcasts at any time. Ostrich reserves the right to review, reject, or remove any broadcast that violates these Terms or our Content Policy.
4. Billing and Payments
Paid subscription fees are billed on a recurring basis (monthly or annually, depending on your selected plan) via Stripe, Inc. By subscribing, you authorize Ostrich to charge your designated payment method on each billing cycle until cancelled.
Cancellation. You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, your access to paid features will continue through the end of the current billing period. Cancellations do not take effect until the next renewal date.
Refund Policy. All subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or plan downgrades. No proration is applied when changing plans mid-cycle.
Failed Payments. If a payment attempt fails, Ostrich will provide a three (3) day grace period during which your account remains active and retry logic is applied. If payment is not successfully collected within the grace period, your account may be downgraded to the Free tier until payment is resolved.
Multi-Package Subscriptions. You may subscribe to multiple Ostrich packages simultaneously (e.g., PM Intel and Vendor Intel). Each package constitutes a separate, independent subscription with its own billing cycle, tier, and cancellation rights. Cancelling one package does not affect your access to other active packages. Changes to one subscription, including cancellation, upgrade, or downgrade, do not modify the terms of your other active subscriptions. Ostrich manages payment methods and invoice history through the Stripe Customer Portal; subscription-level actions (cancel, upgrade, downgrade) are managed through the Ostrich in-app account settings page.
Founding Member Program. The Founding Member program is a limited-time promotional offer available exclusively during the enrollment window specified by Ostrich (the “Founding Window”). Qualifying Founding Members receive a fifty percent (50%) discount applied to their subscription(s) for the first twelve (12) months from the date of initial subscription. This discount applies on a per-package basis, is personal and non-transferable, and applies only to the account holder’s subscription(s). The discount is not renewable and expires automatically at the end of the twelve-month period, after which standard pricing applies. Founding Member status is forfeited upon cancellation of all subscriptions or account termination. Founding Members may be listed by name and company on the Ostrich Founding Members page and in promotional materials, unless they opt out by written request. Ostrich reserves the right to verify Founding Member eligibility and revoke the discount in cases of fraud or Terms violations. No additional promotional discounts may be combined with the Founding Member discount unless expressly authorized in writing by Ostrich.
Referral Programs. Ostrich may offer referral programs that allow you to earn credits, discounts, or other incentives by referring new users to the Service. Participation in referral programs is subject to the following conditions: (a) referral incentives are available only to active subscribers in good standing; (b) self-referrals, duplicate referrals, and referrals made through fraudulent or deceptive means are prohibited and will result in forfeiture of all associated incentives; (c) referral credits are non-transferable, have no cash value, and may not be combined with other promotional offers unless otherwise stated; (d) Ostrich may impose per-program caps on the number of referrals eligible for incentives in any given period; (e) referral credits expire twelve (12) months after issuance unless otherwise specified; and (f) Ostrich reserves the right to modify, suspend, or discontinue any referral program at any time upon thirty (30) days notice. You are solely responsible for any tax obligations arising from referral incentives received.
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information in connection with the Service. The Privacy Policy is incorporated into these Terms by reference.
Ostrich collects and processes three primary categories of data in connection with the Service:
- Account data — Information you provide when registering, including your name, email address, company affiliation, and subscription details.
- Usage data — Behavioral and interaction data collected as you use the Service, including pages visited, features accessed, search queries, and session metadata.
- Public business data — Publicly available information about vendors, companies, and market participants that Ostrich collects and aggregates to power platform intelligence features.
6. User-Generated Content
Ownership. You retain ownership of all content you submit to the Service, including reviews, community posts, and other user-generated materials (“User Content”).
License Grant. By submitting User Content, you grant Ostrich a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and publish such content in connection with operating and improving the Service, including for aggregated intelligence products.
Genuine Experience Requirement. All reviews must be based on a genuine, firsthand business relationship or experience with the reviewed vendor. By submitting a review, you attest that the content reflects your honest, unbiased opinion.
The following categories of User Content are prohibited:
- False statements of fact — Content containing materially false factual claims about a vendor, its products, services, or personnel.
- Paid or incentivized reviews — Reviews submitted in exchange for payment, discounts, free services, or any other consideration from the reviewed vendor.
- Competitor manipulation— Submitting negative reviews of competitors or coordinating with others to manipulate a vendor’s score or ranking on the platform.
- Confidential information — Disclosing trade secrets, proprietary business information, or personally identifiable information of individuals without authorization.
- Discriminatory content — Content that is discriminatory, harassing, or hateful based on race, gender, religion, national origin, disability, sexual orientation, or any other protected characteristic.
Automated Enforcement. Accounts that accumulate three (3) or more content flags within any seven (7) day rolling period will be automatically suspended pending review by the Ostrich Trust & Safety team.
Data Contribution and Conditional Access. Certain platform features are accessible through a “give-to-get” model, whereby you may unlock temporary access to premium content by contributing data to the platform (e.g., submitting a vendor review or completing a market survey). Unlocked access is granted on a per-subject, time-limited basis — typically thirty (30) days from the date of contribution — after which access reverts unless you make an additional qualifying contribution. Ostrich does not guarantee the availability, completeness, or specific content of any data unlocked through this mechanism. Contributions submitted solely to obtain access, without genuine informational value, may be flagged and removed at Ostrich’s discretion. Ostrich reserves the right to modify the contribution requirements, unlock duration, and scope of accessible content at any time.
7. Proprietary Data and Intellectual Property
The Service and all content created or compiled by Ostrich — including but not limited to aggregated market data, vendor scores, category rankings, intelligence reports, and platform software — are the exclusive intellectual property of Ostrich Intelligence, Inc. and are protected by United States and international copyright, trademark, and trade secret laws.
The Ostrich database, including its selection, coordination, and arrangement of vendor data, scores, and market intelligence, constitutes an original work protected by database compilation copyright. No portion of this proprietary data may be reproduced, redistributed, sublicensed, sold, or otherwise exploited without the prior written consent of Ostrich.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes during the term of your subscription. This license does not include the right to resell, redistribute, scrape, copy, or create derivative works from any platform data or content.
8. Intelligence Disclaimer
The information, scores, rankings, reports, and other content provided through the Service are intended for general informational purposes only and do not constitute investment advice, legal advice, financial advice, or any other form of professional advice. Ostrich is not a registered investment adviser, broker- dealer, attorney, or financial planner.
Vendor scores and rankings are calculated algorithmically based on available data, user reviews, and proprietary methodologies. They reflect conditions at the time of calculation and may not account for recent developments, incomplete data, or information not available to Ostrich. You should conduct your own due diligence before making any business, procurement, or investment decision.
Ostrich makes no warranty regarding the accuracy, completeness, timeliness, or reliability of any platform intelligence. Reliance on such information is at your sole risk.
9. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OSTRICH, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE GOODS OR SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF OSTRICH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OSTRICH’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO OSTRICH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you.
10. Termination
Either party may terminate the account relationship at any time for any reason. You may terminate by cancelling your subscription and deleting your account through the account settings page. Ostrich may terminate or suspend your account at any time for material violations of these Terms, fraudulent activity, or conduct that poses a risk to other users or the integrity of the platform.
Suspension. In cases of suspected Terms violations, Ostrich reserves the right to immediately suspend access to the Service pending investigation, without prior notice. Ostrich will endeavor to notify affected users of suspensions via email within 24 hours of the suspension action.
Data Upon Termination. Following account termination, Ostrich will retain and process your data in accordance with the Privacy Policy. You may request an export of your account data within thirty (30) days of termination by contacting support@ostrichintel.com. After the 30-day export window, Ostrich may delete your personal account data in accordance with its retention schedule.
Sections 6, 7, 8, 9, and 11 of these Terms shall survive any termination or expiration of your account.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to provide Ostrich with written notice of the dispute and allow thirty (30) days for the parties to attempt to resolve the matter informally. Dispute notices should be sent to legal@ostrichintel.com.
Binding Arbitration. If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and, unless otherwise agreed, shall take place in the State of Delaware or via remote hearing.
Class Action Waiver. YOU AND OSTRICH EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING IN ARBITRATION OR IN COURT. EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.
If any provision of the arbitration agreement in this section is found unenforceable, only that specific provision will be severed and the remainder of this section will continue in full force.
